If you have in-depth knowledge of Mid to Large Corporate Tax Law and Mergers and Acquisitions and are looking to move outside the world of law firms we have an excellent opportunity for you to grow your career and move forward with a global company.

Shall:

*** Work Closely with Owners, Investors, Attorneys, Finance Executives, etc on projects protecting against M&A related tax risks.
.
*** Perform contractual and financial evaluations for companies involved in M&A deals in order to assess acceptable Representations and Warranties Insurance coverage related to tax risks.
.
*** Support insuring against adverse outcomes on tax risks.
.
*** Analyze and advise on such issues as: solar and wind farm tax credits, tax-free spin-off transactions, S-Corp issues, debt versus equity tax exposures, employee retention credits under the CARES Act, state and local tax issues, etc.
.
*** Review and assess the tax risks at issue, analyze tax opinions and memoranda, identifying additional information necessary to gain comfort with tax positions, verify and confirm loss calculations, confer with outside tax counsel, and interview potential insureds about tax risks.
.
*** Review, evaluate and present analysis of due diligence procedures, operational risks and potential red flags of mergers and acquisitions deals.
.
*** Collaboratively negotiate and develop insurance contract language.
.
Experience and Education:
.
*** Juris Doctor JD OR Masters of Law LLM Tax and 4+ years of Mid to Large Corporate Tax experience.
.
*** Expert level knowledge of Mid & Large Corporate Tax Law.
.
*** Ability to assess accuracy of statements and assurances in the representations and warranties from sellers in mergers and acquisitions transactions.
.
